01 Acceptance of Terms
By accessing or using Prizm ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. The agreement applies to all visitors and users. Those using the Service on behalf of an entity represent they have authority to bind that organisation to these Terms. If you do not agree, please do not use the Service.
02 Description of Service
Prizm provides a connectivity and orchestration platform enabling secure connections to third-party applications for use across AI environments. The platform connects third-party applications including productivity, communication, and developer tools for use with platforms like Gemini and Claude. Services include unified APIs, OAuth credential management, execution history visibility, webhooks, developer dashboards, and support.
Prizm reserves the right to modify or discontinue any part of the Service with reasonable notice.
03 Account Registration
Users must:
- Provide accurate and complete registration information.
- Maintain the security of their account credentials and API keys.
- Accept responsibility for all activities that occur under their account.
- Immediately notify us at legal@prizm.dev of any unauthorised use or security breach.
- Not share API keys or credentials with unauthorised parties.
Prizm may suspend accounts found to be in violation of these Terms or engaged in abusive behaviour.
04 Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations.
- Transmit malicious code or interfere with the platform's integrity.
- Attempt to gain unauthorised access to other accounts or systems.
- Reverse engineer or build competing products using the Service without consent.
- Scrape data or make API requests beyond authorised limits.
- Interfere with system performance or the experience of other users.
Prizm reserves the right to investigate suspected violations and cooperate with law enforcement.
05 API Usage and Rate Limits
API usage is subject to the limits of your subscription plan. Prizmmay throttle access exceeding those thresholds and may modify rate limits with 30 days' notice, except in cases of abuse or security threats.
Users are responsible for securing API keys. Charges resulting from unauthorised use of your API keys remain your responsibility.
06 Payment and Subscription
- Free plans offer limited features. Paid plans provide upgraded capabilities and priority support.
- Paid plans are billed monthly or annually and authorise automatic charges.
- Fees are non-refundable except as required by applicable law.
- Cancellation takes effect at the end of the current billing period.
- Price increases require 30 days' advance notice via email or in-app notification.
07 Intellectual Property
Prizm owns all Service software, designs, and trademarks. You retain ownership of your Customer Data but grant Prizm a limited licence to process it for service operation, security, maintenance, and improvement.
Customer Data may be processed as part of execution history, operational logs, and auditability features. Google Workspace data cannot be used to train any generalised AI or machine learning models.
08 Third-Party Connectors
Connections to third-party platforms remain governed by their respective terms and policies. You must ensure you have the necessary authorisation rights to connect services and transmit data through them.Prizm may process and retain associated data for functionality, visibility, and security purposes.
09 Google Workspace Data Restrictions
Data obtained via Google APIs serves only the explicitly authorised, user-facing functions you requested. Google-derived data is never:
- Sold to third-party entities or advertising brokers.
- Used for targeted advertising or behavioural profiling.
- Used to train any artificial intelligence, large language, or machine learning models.
All usage complies with the Google API Services User Data Policy.
10 Google Data Retention
Google information may appear in execution history and logs per the Privacy Policy, which governs retention and deletion practices.
11 Confidentiality
Each party agrees to maintain confidentiality for non-public, designated information, with exceptions for information that is publicly available or required to be disclosed by law. Data handling is governed by our Privacy Policy.
12 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.Prizm does not warrant uninterrupted or error-free operation. Third-party platform availability changes occur outside Prizm's control.
13 Limitation of Liability
Prizm SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. Total liability is capped at the greater of amounts paid in the preceding 12 months or $100 USD.
14 Indemnification
You agree to defend and indemnify Prizm against any claims, damages, and costs (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
15 Termination
Either party may terminate the agreement at any time. Prizm may immediately suspend or terminate access for breaches of these Terms, security risks, or legal requirements. Upon termination, third-party access is disabled while operational records persist in accordance with the Privacy Policy.
16 Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware. Disputes are resolved through binding arbitration under the American Arbitration Association Commercial Arbitration Rules in Delaware. Either party may seek injunctive relief in any court of competent jurisdiction.
17 Changes to Terms
Prizmmay modify these Terms at any time. We will provide at least 30 days' notice via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
